entier Terms and Conditions
  1. Privacy
    entier gives your e-mail address, name and PayPal account to the program manager of the affiliate programs that you sign up with so they may send you further information about their product. By joining a program, you authorise the program manager to send you such material that is directly associated with the product or related products also owned by the program manager.

    The program manager must not use names, e-mail addresses or PayPal account information for any other purpose other than to:

    • send their affiliates information about their product or their related products
    • pay their affiliates their commission
    • use the information for internal statistical use
    • get in contact with the affiliate about a matter specifically relating to their entier program

    Should a program manager be found to be using affiliate information for any other purpose, the program manager's program may be suspended indefinitely.

    entier may, from time to time, use your name and e-mail address to send you information about the entier service. If we need to contact you directly about an issue, we will use your name and e-mail address to send you an e-mail.

    entier will never use your information for any other purpose, nor will it disclose it to anyone that is not specifically listed in this clause.

  2. Compliance with Program's T&C
    Each program manager may specify additional terms and conditions. These terms and conditions may not override any terms and conditions set out in this document.

    As an affiliate of an entier program, you must abide by this document as well as any additional terms and conditions set forth by the program manager.

  3. Responsibility for Affiliate Payments
    The entier system tracks sales made by the program manager and attributes the sale to the appropriate affiliate. The program manager is then responsible for processing and funding the affiliate payments to the affiliates. Neither entier nor eCOSM Limited are responsible for funding the affiliate payments.

    Program managers must ensure the affiliates are paid out at least once every two months, if their accumulated payout amount is above the stated minimum payout amount. Should the program manager fail to pay out their affiliates after two months, their account may be suspended.

  4. No Unsolicited Mailing or Posting
    entier does not tolerate unsolicited posting associated with any of the products that it offers as an affiliate program.

    You must not post any unsolicited message regarding a product that you are associated with on entier, regardless of whether you mention or link to the entier service in the posting. Unsolicited postings include, but are not limited to:

    • sending e-mail advertising the product to non-personal contacts where the recipients have not previously authorised you to send them such material
    • posting any advertisement to a usenet group that is not specifically made for advertising such products
    • posting any advertisement to a public web-based message forum that is not specifically made for advertising such products
    • sending a cellphone text message advertising the product

    Should an affiliate of a program be found to have posted an unsolicited message, that affiliate's entier account will be suspended indefinitely. Should a program manager be found to have posted an unsolicited message, that program manger's entier program will be suspended indefinitely.

  5. No Illegal Use
    You may not register a program with entier that is illegal to use or view. Should you do so, your program will be suspended indefinitely.

    You may not perform any act that is illegal in relation to any entier affiliate program. Should you do so, your account will be suspended indefinitely.

  6. No Adult Material
    You may not promote, offer or sell any material using entier that is restricted to persons over a certain age.

  7. No Warranty of Service for Affiliates
    As entier offers a free service for affiliates to join an affiliate program, entier makes no warranty as to the availability or proper functioning of the entier service to affiliates.

  8. Trademarks
    entier is a registered trademark of eCOSM Limited.

  9. Indemnification
    You agree that you shall defend, indemnify and save entier and eCOSM Limited harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against entier or eCOSM Limited its members, officers, and employees, that may arise or result from any product or service provided, performed or agreed to be performed or sold by you, your members, employees or assigns.

  10. Agreement Modification
    entier reserves the right to change any of these terms and conditions, at any time and at its sole discretion, by posting a new agreement on the entier web site and/or by notifying you via e-mail.

  11. Governing Law
    This Agreement shall be governed by the laws of the New Zealand, and the parties agree that any claim, dispute or other difference shall be exclusively resolved by binding arbitration pursuant to New Zealand laws with arbitration to occur at a location selected by entier.
